Terms and Conditions



Term: These Terms and Conditions shall take effect on and from the Effective Date.

Authority: Any Person/Member/Independent Affiliate entering into this Agreement hereby represents, warrants, and covenants to Direct Benefits Network LLC that it has the authority to enter into this Agreement and to perform its obligations hereunder.

Modifications of the Terms and Conditions: These Terms and Conditions are subject to change at the sole discretion of Direct Benefits Network LLC without prior notice. The changes are effective retroactively from the time of the company formation.

Direct Benefits Network LLC Member or Member/Affiliate: I (“Member” “Customer” “Member/Affiliate” “Independent Affiliate” or “I”) understand that Direct Benefits Network LLC (“Websites”) are collectively owned and operated by Direct Benefits Network LLC located in the United States of America. Throughout these Terms and Conditions, the terms “company”, “Direct Benefits Network LLC”, the company provides these websites, including all information, tools, and services available from this site conditioned upon my acceptance of all terms and conditions, policies, and notices stated here.

I engage in the “Service” of the company and agree to be bound by the following terms and conditions (“Terms”), including those additional terms and conditions and policies referenced herein on the websites of the company.


Charges & Commissions: I acknowledge that all charges, fees, and commissions will be processed by the company – Direct Benefits Network LLC.

Honesty & Integrity: I hereby state and agree that I shall conduct all my affairs for Direct Benefits Network LLC with honesty and integrity and shall not engage in fraud, dishonesty, or any act of material misconduct. I will do my absolute best to act truthfully and will not induce, influence, pressure, or mislead any member, prospective members, Affiliate, or customer with regards to my business, and not pressure or coerce any existing member to cancel or re-sign up with myself or another member or Affiliate.

Reading of Back Office and Training: I agree to read all information posted in the backoffice members’ area, watch, and listen to any videos, audios, emails, or other reading materials deemed as “required” or “mandatory” by the company. I will be solely responsible for any loss/damage incurred because of my failure to follow, comply, and read/listen to any required/mandatory material provided by the company.

General Support: For all account and commissions questions, I will communicate by email with support@directbenefitsnetwork.com. I understand that only the email support department will have access to the account and the commissions information, and the text and chat support will not have access to my account information. I will only use email support to address all questions regarding commissions, billing, marketing, and account information.

Sponsors’ Duty: By referring any person/member/member-Affiliate/independentAffiliate, I understand that I become the sponsor of that person. As a sponsor, I understand and agree that it is my duty and obligation to assist all personal referrals in the following areas: Logging in to their back-office; Helping them access their member benefits; Answering questions/queries; Pointing and instructing them to watch any required training videos; Listening to the company deemed required audios and read required emails; Regularly attending live and recorded conference calls and webinars held by the company.

Change of Sponsor: I understand the company will not change sponsors of members upon my request. To change my sponsor, I will be required to cancel my membership and wait for a period of at least 180 days from the time of cancellation before signing up with another sponsor. If I wish to sign up with another sponsor, I am required to comply with the following process:

Cancel the existing membership: Follow a Waiting Period of 180 days from the Cancellation. Join with the new sponsor using a different username, site name, and email address. I affirm that any personally referred member or affiliates I had in my previous organization or network will not be moved to my account

Sponsor of Spouses or Family: I understand that spouses and immediate family members must sign up with each other and are not allowed to join with other Independent Affiliates of the company.

Sponsorship of Minors: Minors are not allowed to become members or affiliates. You must be 18 years of age to join.

Sponsorship of a Business: I understand that only a business with a Valid Legal Tax number can be referred

Sponsorship of a Non-Profit Organization: Any Non-Profit Organization to be referred is required to provide their government-assigned numbers in the Social Security or EIN Business Tax ID field in their members’ area.

Account Limitation: I acknowledge that the following Account Limitations will apply: I agree to use my credit/debit card to pay for the memberships of my immediate family members who are residing with me only and may not pay for anyone else’s membership unless they are my immediate family members living with me in my household.

I may refer any business that I legally own, along with a valid Legal Tax ID number. I understand that I am not allowed to pay for any other membership or account outside of the aforementioned parameters. I may not pay for my friend or business associate to join. All persons outside these parameters must use their own payment method, debit, or credit card.

Independent Relationship: Nothing shall be construed to create or imply that there exists between Direct Benefits Network LLC and the Independent Affiliate partnership, joint venture, or other combined business organization nor shall be construed for any purpose as creating the relation of employer and employee or agent and principal between the parties.

Taxes: I understand that I am not an employee of the company. I am solely responsible for paying all my taxes on all commissions I may receive from the company. If I am based in the U.S., I must provide a valid Social Security Number or Tax ID (EIN) in my member’s area, for the company to send me a 1099 Tax Form in the event if I’m paid over $600 in commissions in a calendar tax year.

Ownership of the Marketing Materials: I agree that I will only be using the company approved marketing materials provided by the company. To create my own marketing materials and videos, I understand that I must get approval from the company before posting any self-made materials publicly.

I agree to use, say, and print the following Disclaimer on all Marketing Materials concerning the company: This is not a guarantee of health, savings, or earnings. Your results will vary.

I understand that any marketing materials I may create regarding the company and its DBAs will become the Intellectual Property of the company. The company may re-use, re-sell, re-publish, re-market, and re-distribute all such material for either commercial, or non-commercial purposes as the company may deem fit.

Approval for Existing Marketing Materials: I understand that all existing marketing materials require approval from the company. The marketing materials may include, but are not limited to, Print, Audios, and Videos. In case of any existing marketing material that has been or is published without the company’s approval, I will be responsible to have it approved from the company on an urgent basis by sending the link of such content or the content through email at: support@directbenefitsnetwork.com including the Subject: “Marketing Material Approval Please”. The email must include your Full Legal Name, Username, Email Address, and Phone/Contact number

Non-Disclosures: I agree and acknowledge that I will not share, leak, or disclose the following information and content:

Income: I agree not to disclose or post any information about the amounts of income I receive from the company, and I understand that it is strictly prohibited by the company.

Other Company’s Prices: I agree not to disclose or display publicly any of the price comparisons shown in our savings portals.

Paid to Surf Programs are Prohibited: I understand traffic exchanges and paid-to-surf programs are not allowed for the promotion of the company or its websites, and I will cease any existing program being used before and by accepting these terms immediately. Failure to do so may result in immediate termination of my account.

Compliance with Spam and Marketing laws: I agree that I will never send spam and I fully comply with all US and International Spam and Marketing Laws, which include but not limited to The Controlling the Assault of Non-Solicited Pornography and Marketing Act of 2003 (CAN-SPAM-ACT), the Telephone Consumer Protection Act and any FTC regulations.

Membership Fee: I agree to pay the amount/fee of the Membership in which I enroll, by credit or debit card. I agree that my credit card or debit card on file will be charged monthly for my Membership and Memberships of businesses or immediate family members I am paying for.

Restriction to Pay for Others: I agree that I will not use my Credit/Debit Card to pay for others unless they are my personally owned business or immediate family member. I understand I will not pay for more than 4 accounts in total.

Signing into another account: To sign in another account, I will need to sign out from the previous member area account. To sign out, I will have to hover my cursor over my account name at the top right, and then click on Sign Out to logout and sign in into another account.

Communication: I agree to receive communications from Direct Benefits Network LLC (the company) by email, mail, phone, voicemail, physical mail, and/or text, and I understand I can opt-out from such communications at any time as provided in the Privacy Policy of the Company.

Membership Charges: I understand that the Membership charges will show on my email receipt and/or on my Card Statement as Direct Benefits Network LLC.

Becoming a Member/Affiliate: Following is the process for becoming an Independent Affiliate which I must follow:

Becoming a Customer by purchasing the Membership: Submitting my SSN (Social Security Number), EIN (Business Tax ID), or if outside the USA, any government-issued ID number such as a tax ID or Driver’s license in my members area in my profile section, completing at least one (1) sale of a membership, offered by Direct Benefits Network LLC. Read and accept all corporate emails and texts and regularly attend live and/or recorded webinars and conferences, Reviewing and agree to required Affiliate Training.

Receiving Commissions and Bonuses: I understand and agree that to receive commissions and/or bonuses, my membership must be paid current and I must set up my payout preference in the profile section of my member’s area.

Changing My Credit / Debit Card on File: I understand that when changing the Credit/Debit Card on File, I may or will receive a receipt for $1 from the merchant processor, however, this $1 is only an authorization and not an actual charge. Even though I will receive a $1 receipt for changing my card information, it is not going to be charged to my Credit/Debit account

Legal Fees: I am responsible to pay any legal fees arising from my action that could be deemed as damaging to the company. In the event I seek any legal action against the company, I agree to pay for all legal fees for the company and myself. In the event a live hearing is deemed necessary by the company’s attorney(s), any dispute will be held in the State of Wyoming, USA, and that I will be responsible to pay all court fees and legal fees.

Suspended Members Cancellation: In the event, a Member’s Account remains Suspended for 30 days, plus a 15-day grace period (45 days), their personally sponsored members will roll up to their personal sponsor.

Compensation Adjustments: I understand it is the goal of the company to provide a viable business for Affiliates to earn a part-time or full-time income and to not reduce compensation amounts, however, I understand the company reserves the right to make compensation adjustments, if necessary, anytime at the sole discretion of the company

Defamation: I agree not to post any negative comments, news remarks, or defamatory material (both Libel and or Slander) about the Company, Members or Affiliates publicly online or in any other format. I also agree not to post any questions on the Company’s Social Media Platforms. I agree to send all my questions and concerns to the support department of the Company by email.

Termination And Legal Action: I understand and agree that if I commit any material breach of any of the Terms, the Company may suspend or terminate my account and membership without notice. In the event, if my account is terminated, I waive all legal rights for any recourse against the company and I am subject to all of these terms even

after termination. In the event I violate any of the terms and the company takes legal action against me, I am legally bound to pay all legal fees, damages, in addition to whatever settlement amount that is awarded to the company.

Also, the company may terminate my account if the administrators of the company have evidence that I have done or am doing anything to damage the company’s reputation. I also agree not to threaten/defame the company, its owners, or Affiliates in any way, including blackmail, threats, or “bullying” and I agree to communicate with the company and its staff in a professional, kind manner. I understand that violating any of these terms and conditions is cause for termination of my account and the company has the right to take legal action against me, either Civil or Criminal.

No Guarantee of Savings or Income: I understand that Direct Benefits Network LLC and any of its owners, employees, Affiliates, staff, or subsidiaries do not guarantee health, wealth, savings, or earnings of any kind. All savings are dependent on my use of the benefits provided in my member’s area. All earnings are dependent on the sales I make and those made by my referral network. I understand there is no guarantee of savings or income. I agree to provide the following disclaimer in and all marketing I may produce: “This is not a guarantee of health, savings, or earnings. Your results will vary.”

Membership Refund Policy: I understand that refunds are offered only for the first month’s initial enrollments and not for monthly membership renewals. Because I can manually cancel my account at any time in my member’s area and by clicking on the cancellation email, I agree to no refunds for consecutive monthly membership charges. Refunds are offered for up to 7 days only on initial signups and are not offered for recurring monthly subscriptions. I understand to request a refund for initial enrollment signup, Members and Member/Affiliates must email support@directbenefitsnetwork.com with their full account information including full name, Direct Benefits Network LLC Username, email address, phone number on file, and the reason for the refund request.

Cancellation Policy: I understand that I may cancel at any time, in real-time, in my member’s area by logging in at www.directbenefitsnetwork.com with my username and password, by clicking on “My Account” and clicking on “Request Account Cancellation” and then opening my email and clicking on the cancellation confirmation link. I understand that if I do not click on the link in the cancellation email, my account will not be canceled. I understand and agree that cancellations are my responsibility and not done by support or the company.

I agree that if I do not see the cancellation confirmation email, I will check my “junk” and/or “spam” folders to find the email and click on the link. If I cancel, I will lose all benefits,

organizational team members, customers, pending and future commissions and there is no way my account can be re-instated, however, I may rejoin after 180 days with a new email and new username after the cancellation has been processed.

I agree that if I do not receive the cancellation email within one (1) hour of attempting cancellation, I will check my bulk or spam email and if I still don’t find the cancellation email, I will immediately send an email to support@directbenefitsnetwork.com with my full name, username, phone number, request to cancel and the reason for the cancellation. I will also include in the email that “I tried to cancel in my back office, but I am not receiving the cancellation email to complete cancellation”. If this email is received by our support team a minimum of 3 business days before my membership renewal date, and my account is still charged, a refund will be provided. If my request email is not received at least 3 days before the membership renewal date, no refund will be issued.

In the event I am paying for more than one (1) membership, I must log in to each membership I wish to cancel and cancel them separately. I understand that canceling one (1) membership does not cancel another. To log in to a different membership, I must sign out or log out of the current membership back office I am logged into.

Intellectual Property: Direct Benefits Network LLC owns and retains all right, title, and interest in DirectBenefitsNetwork.com, its Services, all content and documentation furnished to me by the Company hereunder. No title to or ownership of any of the foregoing is granted or otherwise transferred to me or any other entity or person under this Agreement. I shall not reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code or trade secrets for any of the Services or related technology

Governing Law: This Agreement shall be construed and controlled by the laws of the United States and the State of Wyoming, without reference to conflict of laws principles. If any claim or dispute between the parties is not resolved by good faith negotiations, any suits or proceedings pursued by either party shall be brought in the courts of Wyoming to

whose jurisdiction each party hereby submits. I understand I will be solely responsible for all attorney fees/legal fees/damages and consequences.

Severance: I understand that if any provision or part-provision of these Terms and Conditions is or becomes invalid, illegal, or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Terms and Conditions.

Indemnification: I agree to indemnify and hold the Company and its subsidiaries, affiliates, officers, directors, agents, and employees, harmless from and against any suit, action, claim, demand, penalty or loss, including reasonable attorneys’ fees, made by or resulting from any third party due to or arising out of my use of the Services and the Site, breach of the Terms and Conditions or the materials it incorporates by reference, or my violation of any law, regulation, order or other legal mandates, or the rights of a third party

Warranties & Liabilities: I understand that the Company shall not be liable to the Member or Independent Affiliate because of any representation for any loss of profit or any indirect, special or consequential loss, damage costs, expenses or other claims (whether caused by the negligence of the Company or its agents or otherwise) which arise out of or in connection with the provision of the Specified Service and the entire liability of the Company, except as expressly provided in these Terms and Conditions. This warranty is in lieu of all other terms, conditions, and warranties, expressed or implied statutory or otherwise, and any other liabilities whatsoever and howsoever arising

Compliance: At all times, I will comply, at my own expense, with all laws, policies, regulations, ordinances, rules applicable to me, written guidelines provided to me by the Company, and any orders of any governmental authority or regulatory body having jurisdiction over the subject matter hereof. I shall not act in any manner, or in furtherance of any activity that may cause the Company to be subject to investigation, prosecution, or legal action
